Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your ("you," "your") use of the LawGrader software application ("Service") provided by GenAI Learning Solutions, LLC ("we," "us," or "our"). The Service includes the automated scoring and feedback of written work through proprietary algorithms and is accessible via our website and related platforms.

2. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you must not use this Service.

3. Use of Service

The Service is intended for personal and educational purposes only. By using the Service, you warrant that you have the right to submit the written work and any content therein for evaluation.

4. Account registration

To access certain features of the Service, you may be required to create an account. You agree to provide accurate and complete information and keep this information up to date.

5. Subscription fees

The Service is provided on a subscription basis. You agree to pay the subscription fees as described on our Service platform. Unless you have agreed to a term contract, subscription fees are subject to change at any time upon notice from us.

6. Intellectual property and license grant

The Service, including its algorithms, software, databases, and all related intellectual property rights, is owned by us. Your use of the Service does not transfer any rights to the intellectual property of the Service to you or any other party.

Subject to ongoing compliance with the Terms, we grant you a non-exclusive and non-transferable license during the subscription term to permit you to access, install, implement, and use the Service solely for your direct beneficial purposes. Your rights to use the Service are limited to those expressly set forth in the Terms, including limitations based on license type set forth in any sales order. We retain all right, title, and interest in and to the Service and all related intellectual property rights, including without limitation any modifications, updates, customizations, apps, or other add-ons.

7. User content

You retain all rights to the written work and any content you submit to the Service for scoring and feedback ("User Content"). You grant us a worldwide, non-exclusive license to use, reproduce, and distribute your User Content in connection with providing you the Service. We may use your feedback and anonymous usage analytics to compile statistical and performance information related to the Service and to improve the Service. Your content is not used to train or fine-tune any model, ours or a provider's.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated herein by reference.

9. Prohibited conduct

You agree not to use the Service for any unlawful purpose or in any way that interrupts, damages, or impairs the Service.

10. Disclaimers

The Service is provided "AS-IS" and "as available" without any warranty of any kind. We do not guarantee the accuracy or reliability of scores or feedback provided.

11. Limitation of liability

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THESE TERMS, WE WILL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THE TERMS OR THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR LOSS OF BUSINESS, EVEN IF WE ARE APPRISED OF THE LIKELIHOOD OF SUCH DAMAGES OCCURRING.

UNDER NO CIRCUMSTANCES WILL OUR TOTAL LIABILITY OF ALL KINDS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, OR OTHERWISE, EXCEED THE TOTAL AMOUNT PAID BY YOU TO US DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any legitimate business reason, including for your breach of these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms.

14. Governing law and jurisdiction

These Terms shall be governed by the laws of the state of Utah, without regard to its conflict of law provisions. You irrevocably submit to the exclusive jurisdiction of the courts of competent jurisdiction in the state of Utah.

15. Third-party services

The Service uses foundational model services supplied by third parties, currently OpenAI, Anthropic, and Google. Such third-party services are governed by their own terms and privacy policies, which you are responsible for reviewing. Google Workspace APIs used in the Service are not used to develop, improve, or train generalized AI or ML models.
